2. Description of Service

NestLoop is a home maintenance management platform that helps homeowners track, schedule, and manage maintenance tasks for their properties. Our service includes task tracking, reminders, appliance inventory management, DIY tutorials, and professional finder features.

3. Account Registration

To use NestLoop, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account

4. Subscription and Payments

NestLoop offers free and paid subscription tiers. For paid subscriptions:

• Payments are processed securely through Stripe
• Subscriptions automatically renew unless cancelled
• You may cancel at any time through your account settings
• Refunds are provided in accordance with our refund policy
• We reserve the right to change pricing with 30 days notice

5. Free Trial

New users may be eligible for a 3-month free trial of paid features. During the trial, you have access to premium features. After the trial ends, your account will revert to the free tier unless you subscribe to a paid plan. Trial eligibility is limited to one per user.

6. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service
• Upload malicious code or content
• Impersonate others or provide false information
• Use automated systems to access the service without permission

7. User Content

You retain ownership of content you upload to NestLoop (photos, notes, documents). By uploading content, you grant us a license to store, display, and process that content to provide our services. You are responsible for ensuring you have the right to upload any content.

8. Third-Party Services

NestLoop may integrate with or recommend third-party services (such as local contractors through our professional finder feature). We do not endorse, guarantee, or assume responsibility for any third-party services. Your interactions with third parties are solely between you and them.

9. Important Disclaimer — Assistance Tool Only

NestLoop is intended solely as an organizational and informational tool to assist property owners in tracking home maintenance tasks. Our platform does not guarantee 100% accurate results, diagnoses, or repair outcomes.

Any maintenance, repairs, or DIY work performed by the property owner based on information, recommendations, tutorials, or schedules provided through NestLoop are undertaken entirely at the property owner's own risk. NestLoop and the NestLoop team shall not be held responsible for any damage to property, personal injury, or other losses resulting from maintenance activities performed by users.

We strongly recommend consulting with qualified, licensed professionals before undertaking any significant repairs, especially those involving electrical systems, plumbing, HVAC, structural elements, or any work that may affect the safety of your home. NestLoop is not a substitute for professional inspection, advice, or services.

10. No Warranty of Accuracy

While we strive to provide helpful and accurate information, NestLoop makes no representations or warranties regarding the accuracy, completeness, or reliability of:

• Maintenance schedules and recommendations
• Cost and time estimates for tasks
• DIY tutorial content and instructions
• AI-generated appliance information or maintenance suggestions
• Third-party professional recommendations

Information provided through NestLoop is for general guidance only and may not be suitable for your specific property, climate, or circumstances.

11. Limitation of Liability

To the maximum extent permitted by law, NestLoop, its owners, employees, affiliates, and partners shall not be liable for:

• Any property damage resulting from maintenance performed by users
• Personal injury sustained during DIY repairs or maintenance activities
• Financial losses due to reliance on cost estimates or recommendations
• Damage caused by missed maintenance tasks or reminders
• Issues arising from third-party contractor services
• Any indirect, incidental, special, consequential, or punitive damages

User-Generated Content. NestLoop may allow users to upload, post, or otherwise submit content including photos, notes, documents, reviews, comments, maintenance records, and other materials ("User Content"). All User Content is the sole responsibility of the user who submitted it. NestLoop does not endorse, verify, or assume any responsibility for the accuracy, legality, safety, or appropriateness of any User Content, and shall not be liable, directly or indirectly, for any loss or damage of any kind incurred as a result of the use of, reliance on, or exposure to any User Content posted, transmitted, or otherwise made available through the service. You acknowledge that by using NestLoop you may be exposed to User Content that is inaccurate, offensive, or objectionable, and you waive any legal or equitable rights or remedies you may have against NestLoop with respect thereto. You agree to indemnify and hold NestLoop harmless from any claims arising out of or related to User Content you submit or your interactions with User Content submitted by others.

Your use of NestLoop and any actions you take based on information provided through our platform are entirely at your own discretion and risk.

12. Account Termination

We may suspend or terminate your account if you violate these terms or engage in conduct that we determine is harmful to our service or other users. You may delete your account at any time through your account settings.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of significant changes via email or through the service. Your continued use of NestLoop after changes constitutes acceptance of the modified terms.

14. Indemnification

You agree to indemnify and hold harmless NestLoop, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service, any maintenance or repairs you perform, or your violation of these terms.

15. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of law principles.

16. Arbitration

Any dispute, controversy or claim arising out of or in connection with these Terms of Service, including the liability disclaimer set forth above, or the breach, termination or invalidity thereof, shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce (ICC) by one or more arbitrators appointed in accordance with the said Rules.

The seat, or legal place, of arbitration shall be Fairfax, Virginia, United States. The language to be used in the arbitral proceedings shall be English. The governing law of the contract shall be the substantive law of the Commonwealth of Virginia, without regard to its conflict of law principles.

The arbitral award shall be final and binding on the parties. Judgment on the award may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, either party may seek interim, provisional, or injunctive relief from any court of competent jurisdiction where necessary to protect its rights pending the constitution of the arbitral tribunal.
